Welcome to Cosmosys, LLC. These Terms and Conditions ("Terms") govern your access to and use of the software, services, systems, and "white-glove" solutions provided by Cosmosys, LLC ("we," "us," or "our") via our website at cosmosys.digital and associated platforms.

By purchasing, accessing, or using our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

1. Fees, Payments, and Strict No-Refund Policy

1.1 Setup Fees: All initial setup and onboarding fees are 100% non-refundable. These fees represent immediate, physical services rendered and time invested into building, configuring, and deploying your specialized system. 1.2 Subscription Fees: All recurring monthly or annual subscription fees are final and non-refundable. We do not provide prorated refunds for partial months of service or for periods where the system was unused.

2. Cancellations and Account Access

2.1 Cancellation Policy: You may cancel your recurring subscription at any time. To avoid being charged for the next billing cycle, cancellation requests must be submitted prior to your next scheduled renewal date. 2.2 Post-Cancellation Access: Upon cancellation, your account will remain active, and you will retain full access to the system until the end of your current paid subscription period. Once the billing cycle concludes, your access will be revoked.

3. Intellectual Property and Ownership

3.1 System Ownership: Cosmosys, LLC retains absolute, full, and exclusive ownership of all intellectual property provided during the term of our service. This includes, but is not limited to, all system architectures, workflows, GoHighLevel (GHL) snapshots, landing page designs, automated sequences, copy, and proprietary strategies. 3.2 Revocable License: By subscribing to our services, you are granted a limited, non-exclusive, non-transferable, and revocable license to utilize these assets solely while your account is active and in good standing. You do not own the underlying assets. Upon cancellation or termination of your subscription, you lose all rights to use, duplicate, or access these systems.

4. Compliance and Legal Liability

4.1 Client Responsibility: You assume 100% responsibility and liability for all communications sent using our systems. This includes strict adherence to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, A2P 10DLC regulations, and all other applicable local, state, and federal messaging and marketing laws. 4.2 White-Glove Services: This liability remains entirely with the Client regardless of whether you are operating the system independently or utilizing Cosmosys, LLC’s "white-glove" setup and management services. 4.3 Indemnification: Cosmosys, LLC is strictly a software and service facilitator. We are not legally responsible for any fines, penalties, lawsuits, or repercussions resulting from your marketing campaigns, lead outreach, or data usage. You agree to indemnify and hold harmless Cosmosys, LLC against any claims arising from your use of the platform.

5. Earnings and Results Disclaimer

5.1 No Guarantees: Cosmosys, LLC provides powerful systems designed to assist with lead generation, reactivation, and client management. However, we make no guarantees regarding specific lead volumes, conversion rates, sales, revenue, or return on investment (ROI). 5.2 Client Execution: The success of these systems relies heavily on market factors and your independent ability to close leads and deliver your services. Cosmosys, LLC is not liable for any lack of financial results or business growth.

6. Service Level Agreement (SLA) & Timelines

To ensure the highest quality of service and deployment, we operate under the following timelines: 6.1 System Setup: Due to the comprehensive nature of our custom snapshot architecture, standard system setup and deployment will be completed within 5 to 7 business days after all required onboarding materials and client assets have been successfully submitted to our team. 6.2 Support and Communication: Non-emergency technical support and general inquiries will be addressed within 24 to 48 business hours. We do not guarantee immediate or 24/7 on-demand support.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State in which Cosmosys, LLC is legally registered, without regard to its conflict of law provisions.
